Astra Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Astra platform, website, applications, software, artificial intelligence tools, integrations, APIs, content, and related services (collectively, the "Services") provided by Launchpoint Dev, DBA Astra ("Astra," "Company," "we," "our," or "us").

By creating an account, accessing, subscribing to, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

Astra continuously evolves and reserves the right to modify, update, discontinue, add, or remove features at any time without notice.

The Services are provided solely for informational and operational purposes.

Astra does not provide:

AI-Generated Content Disclaimer

The Services utilize artificial intelligence, machine learning technologies, large language models, predictive systems, and automated analytical tools.

You acknowledge and agree that AI-generated outputs may:

  • Contain inaccuracies
  • Be incomplete
  • Be outdated
  • Be misleading
  • Include factual errors
  • Produce unexpected results
  • Misinterpret user inputs
  • Omit relevant information
  • Generate content unsuitable for your industry or jurisdiction

You agree that all outputs generated by Astra must be independently reviewed, validated, and approved before implementation.

You assume all risks associated with the use of AI-generated outputs.

Under no circumstances shall Astra be responsible for decisions, actions, losses, damages, penalties, liabilities, or business outcomes arising from reliance upon AI-generated content.

No Guarantee of Results

Astra does not guarantee any specific business outcome.

The Company expressly disclaims any guarantee regarding:

  • Revenue growth
  • Lead generation
  • Advertising performance
  • Return on ad spend
  • Marketing success
  • Search engine rankings
  • Conversion rates
  • Customer acquisition
  • Customer retention
  • Operational efficiency
  • Cost savings
  • Profitability

Past performance, examples, case studies, projections, demonstrations, simulations, or recommendations are not guarantees of future results.

User Responsibilities

You remain solely responsible for:

Account Registration

You grant Astra a worldwide, non-exclusive, royalty-free license to:

  • You own or control all rights necessary to submit User Content.

Astra does not own, control, or operate these third-party services.

Astra is not responsible for:

  • API failures
  • Service interruptions
  • Platform outages
  • Account suspensions
  • Policy changes
  • Data loss
  • Algorithm updates
  • Pricing changes
  • Third-party software defects

Your use of third-party services remains subject to their respective terms and conditions.

Automations

Certain Services may enable automations, workflow actions, recommendations, or integrations capable of affecting business operations.

You acknowledge that:

  • Automated actions may not always function as intended.
  • Automated actions may generate unintended results.
  • Automated actions require human oversight.
  • You are solely responsible for monitoring all automations.

Astra shall not be liable for losses resulting from automated workflows or actions.

Subscriptions and Billing

Certain Services are offered through recurring subscription plans.

By subscribing, you authorize Astra to charge your payment method for all applicable fees.

Subscriptions automatically renew unless canceled before the renewal date.

Unless otherwise stated:

  • Fees are non-refundable.
  • Partial months are not prorated.
  • Unused subscription periods are not refundable.
  • Failure to pay fees may result in suspension or termination of Services.

Astra reserves the right to modify pricing upon notice.

Intellectual Property

All rights, title, and interest in and to the Services remain the exclusive property of Astra and its licensors.

without Astra's prior written consent.

Acceptable Use

You agree not to:

  • Circumvent security measures

  • Generate spam
  • Harass others
  • Disseminate unlawful content
  • Misrepresent Astra outputs as guaranteed facts

Astra reserves the right to suspend or terminate accounts violating these provisions.

Beta Features

The Services may include beta, experimental, preview, or early-access features.

Such features are provided strictly "AS IS" and may:

  • Contain bugs
  • Experience downtime
  • Produce inaccurate results
  • Be discontinued without notice

Astra assumes no liability regarding beta features.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ASTRA DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • PERFORMANCE
  • SECURITY
  • AVAILABILITY

ASTRA DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA, LAUNCHPOINT DEV, ITS OWNERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Lost data
  • Business interruption
  • Reputational harm
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Special damages
  • Punitive damages

REGARDLESS OF THE LEGAL THEORY ASSERTED.

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • (A) ONE HUNDRED U.S. DOLLARS ($100); OR
  • (B) THE TOTAL AMOUNT PAID BY YOU TO ASTRA DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Astra, Launchpoint Dev, its affiliates, officers, directors, employees, contractors, licensors, and agents from any claims, damages, liabilities, losses, costs, expenses, and attorneys' fees arising from:

  • Your use of the Services
  • Your User Content
  • Your business decisions
  • Your implementation of Astra recommendations
  • Violations of these Terms
  • Violations of applicable law
  • Third-party claims related to your use of the Services

Termination

Astra may suspend or terminate access to the Services at any time for any reason, including violations of these Terms.

Upon termination:

  • Your access to the Services may cease immediately.
  • Outstanding payment obligations remain due.
  • Provisions intended to survive termination shall remain in effect.

Governing Law

These Terms shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict-of-law principles.

Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration conducted in Wyoming.

You waive any right to:

  • Jury trial
  • Class action litigation
  • Representative proceedings

Claims must be brought individually.

Force Majeure

Astra shall not be liable for delays or failures caused by events beyond its reasonable control, including:

  • Internet outages
  • Cloud provider failures
  • Cyberattacks
  • Government actions
  • Natural disasters
  • Labor disputes
  • Third-party service interruptions

Modifications to Terms

Astra may modify these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Services constitutes acceptance of revised Terms.

Entire Agreement
